Esmaeilzadeh Holding announces timetable for the planned securities exchange

Esmaeilzadeh Holding AB (publ) (“EHAB”) announced on 24 March 2025 that the bondholders under EHAB’s outstanding bonds 2022/2025 with ISIN SE0017133564 (the “Existing Bonds”) voted in favour of a securities exchange pursuant to which all Existing Bonds will be redeemed and replaced with a new secured bond loan (the “New Bonds” and the “Securities Exchange”, respectively). EHAB hereby announces a preliminary timetable for the Securities Exchange.

The Securities Exchange will tentatively take place on 28 April 2025, whereby the New Bonds will be issued at a discount of 7.5 percent to par in exchange for the Existing Bonds, which will be redeemed at a price equal to 103.25 percent of the nominal amount. The Securities Exchange is carried out without payment of any cash consideration. The total nominal amount of the New Bonds will amount to SEK 1,758,040,541 and for each Existing Bond with a nominal amount of SEK 1,250,000, holders will receive one New Bond with a nominal amount of SEK 1,395,270 (the nominal amount of the New Bonds will be adjusted to the extent that partial repayment or cancellations of Existing Bonds occur prior to the completion of the Securities Exchange).

In order to participate in the Securities Exchange and receive the New Bonds, the holder of the Existing Bonds must be registered in Euroclear Sweden’s debt ledger as of the record date of 25 April 2025.

In connection with the Securities Exchange, EHAB will pay accrued but unpaid interest from (but excluding) the latest interest payment date to (and including) the date of the Securities Exchange to the persons registered as holders of the Existing Bonds in Euroclear Sweden’s debt ledger as of the record date of 17 April 2025.

The Securities Exchange is subject to certain administrative conditions being met before 28 April 2025 and EHAB will confirm as soon as the conditions are met through a press release.
